Important: Please read these Terms carefully before engaging our services. By proceeding with any project, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Services Provided

Valentine Web Solutions provides freelance web design and development services, including but not limited to:

  • Website design and development
  • Website maintenance and updates
  • SEO optimization services
  • Website redesign services
  • Digital consultation services

All services are provided as an independent contractor on a project-by-project basis.

3. Pricing and Payment Terms 3.1 Pricing

Important Notice: All prices displayed on our website are for demonstration purposes only. Actual project costs will be quoted individually via email based on specific requirements and project scope.

3.2 Payment Schedule

  • Payment in Advance: All projects require 100% payment in advance before work commences
  • No Work Without Payment: No development work will begin until full payment is received
  • Payment Methods: Payments can be made via bank transfer, PayPal, or other agreed methods

3.3 Non-Refundable Policy

All payments are non-refundable. Once work has commenced, no refunds will be provided under any circumstances, including but not limited to:

  • Client change of mind
  • Project cancellation by client
  • Dissatisfaction with completed work (subject to revision policy)
  • Business closure or change in circumstances

4. Project Scope and Changes

4.1 Project Scope

The project scope will be clearly defined in the project proposal and must be agreed upon before payment and commencement of work.

4.2 Changes to Existing Work

Additional Fees Apply: Any changes, modifications, or additions to the original scope of work will incur additional fees. This includes but is not limited to:
  • Content changes after approval
  • Design modifications beyond agreed revisions
  • Additional pages or functionality
  • Third-party integrations not originally specified
  • Changes to hosting or domain requirements

Additional work will be quoted separately and requires advance payment before implementation.

5. Third-Party Services

5.1 Hosting and Domain Services

We utilize third-party providers for:

  • Web hosting services
  • Domain registration and management
  • SSL certificates
  • CDN services
  • Email services

5.2 Client Responsibility

While we may assist in setting up these services, you acknowledge that:

  • You are ultimately responsible for maintaining these services
  • You must ensure timely renewal of hosting and domain services
  • You are responsible for backup and security of your data

5.3 Service Cancellation

Important: If you choose not to pay for hosting/domain renewal after the initial term (typically 1 year), we reserve the right to cancel these services. Your website will become inaccessible, and we are not responsible for any resulting downtime or data loss.

6. Third-Party Liability and Data Security

6.1 Third-Party Responsibility

We are not responsible for issues, breaches, or failures relating to third-party services, including but not limited to:

  • Data breaches at hosting providers
  • Server downtime or technical failures
  • Domain registration issues
  • Email service disruptions
  • SSL certificate problems
  • Payment gateway issues

6.2 Data Protection

While we implement reasonable security measures in our development process, the security of your live website depends on third-party hosting and security services. We recommend:

  • Regular backups of your website
  • Keeping all software and plugins updated
  • Using strong passwords and two-factor authentication
  • Monitoring your website for security issues

7. Intellectual Property

7.1 Ownership Rights

Upon full payment, you will own:

  • Custom design elements created specifically for your project
  • Website content provided by you
  • Custom code written specifically for your project

7.2 Retained Rights

We retain rights to:

  • General coding techniques and methodologies
  • Template frameworks and libraries
  • Third-party plugins and components
  • Use the completed project in our portfolio

8. Project Timeline and Delivery

8.1 Timeline Estimates

Project timelines are estimates and may vary based on:

  • Project complexity
  • Client response time for feedback
  • Availability of required content and materials
  • Technical challenges or third-party service issues

8.2 Client Responsibilities

Timely project completion depends on your prompt provision of:

  • All required content and materials
  • Feedback and approvals
  • Access to necessary accounts and services
  • Decision-making within reasonable timeframes

9. Support and Maintenance

9.1 Post-Launch Support

Limited support is provided for:

  • Bug fixes related to original development
  • Minor content updates (as specified in project scope)
  • Technical guidance for website management

9.2 Ongoing Maintenance

Ongoing maintenance services are available separately and include:

  • Regular updates and security patches
  • Content updates and modifications
  • Performance optimization
  • Technical support

 

10. Limitations of Liability

10.1 Service Limitations

Our liability is limited to the amount paid for the specific project. We are not liable for:

  • Loss of profits or business opportunities
  • Data loss or corruption
  • Third-party service failures
  • Indirect or consequential damages
  • Issues arising from client modifications to delivered work
  • Encryption: All data transmissions are encrypted using SSL/TLS
  • Access Controls: Strict access controls and authentication measures
  • Regular Updates: Systems are regularly updated and patched
  • Staff Training: All staff receive data protection training
  • Incident Response: Procedures in place for data breach notification

10.2 Force Majeure

We are not responsible for delays or failures due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, or third-party service outages.

11. Termination

11.1 Project Termination

Either party may terminate the project agreement with written notice. However:

  • No refunds will be provided for payments already made
  • You will receive all work completed up to the termination date
  • Any outstanding deliverables will not be provided

11.2 Service Termination

We may terminate services immediately if:

  • Payment is not received as agreed
  • You breach these Terms
  • You engage in abusive or inappropriate behavior
  • Legal or regulatory requirements necessitate termination

12. General Terms

12.1 Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be resolved through UK courts.

12.2 Entire Agreement

These Terms, along with any project-specific proposals, constitute the entire agreement between parties.

12.3 Modifications

These Terms may be updated at any time. Continued use of our services constitutes acceptance of any changes.

12.4 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13. Client Acknowledgment

By engaging our services, you acknowledge that you have:

  • Read and understood these Terms in full
  • Agree to the payment terms and non-refundable policy
  • Understand the limitations regarding third-party services
  • Accept the pricing structure and additional fees policy
  • Agree to the intellectual property arrangements
